Procurement Terms & Conditions

Definitions:

  • Procurement: The act of searching to obtain or buying goods, by special effort. The process includes finding goods required by overseas buyers, negotiate costs, agreeing terms and conditions, then acquiring the goods.
  • Procurer Option 1: EON Logistics & Trading Ltd acting as purchasing agent on behalf of overseas buyer, directly dealing with and paying the UK supplier/seller.
  • Procurer Option 2: EON Logistics & Trading Ltd identifies UK Suppliers/sellers and introduces them to the overseas buyers, for an introduction fee. The buyers then pay the UK supplier/seller directly.
  • UK Supplier/Seller: The legal owner of the good(s), under who’s warranties or terms and conditions apply to the sale and purchase of the goods ordered.
  • Overseas Buyer/Purchaser: The person or company whose order for the requested goods to be procured, who appoints EON Logistics & Trading Ltd to act on their behalf under above Procurer option 1 or option 2.
  • Warranty Statement: Any product guarantees or warranties are only those offered by the manufacturer or seller of the goods/products. Normally such warranties are only valid if the goods are returned to the UK sellers, at the cost of the buyers or owners of the goods.
  • EON logistics & Trading LTD is a registered company in England. Company Number 7900472

1. Placing new Procurement Orders

a) When overseas buyers wish to place an order for EON Logistics & Trading Ltd to source/procure goods on buyer’s behalf from UK Suppliers, buyer will be asked to complete and sign an ORF (Order Request Form). This form will clearly detail your required product/goods specifications, existing supplier details (if you, the buyer, has already contacted a UK supplier and prices you have already been quoted), together with buyer’s/your full company and contact details.

b) Some suppliers quote higher prices for their products to overseas buyers, than they may quote to UK buyers (normally to cover extra administration work, banking costs, associated with handling and dealing with overseas exports).

c) Buyer will also confirm on the ORF, what procurement services they require of EON Logistics & Trading Ltd. Either: Procurer Option 1 or Procurer Option 2. (See definitions).

d) Once the ORF is signed and returned to EON Logistics & Trading Ltd, we will acknowledge receipt and undertake to complete the requested Procurement work within 2 working days. Emailing/sending required purchase order quotes to buyer, detailing payment terms, supplier’s warranty/terms and conditions of sale and availability timelines.

e) It is the buyer’s responsibility to check that the purchase order details, correctly matches their requested purchase on the ORF and any suppliers/seller’s terms and conditions are read and accepted by the buyers, by the signing acceptance of the purchase order. This purchase order will normally be valid for 7 days only, thereafter subject to revised quotation.

f) Should for some reason, specific or similar matching requested products not be available, we will report back to the buyers for guidance on how they may wish to proceed. No fees will be charged in these circumstances.

2. Payment Options: 

Procurement Option 1 – See definitions

a) Under this option, the buyer is employing EON Logistics & Trading Ltd, full services, to procure/source and pay suppliers for the goods on the ORF and accepted Purchase Order.

b) The Buyer will arrange immediate bank transfer to EON Logistics & Trading Ltd, for the full amount of the purchase order, excluding the UK VAT.

c) Upon receipt of funds from the buyers, EON Logistics & Trading Ltd, will immediately pay the suppliers for the goods, including paying the UK VAT.

d) To save the buyers having to pay 20% UK Sales Tax/VAT and then try to reclaim after Export from the UK Suppliers or UK Customs, EON Logistics & Trading Ltd do not charge the buyers the 20% VAT. Instead we charge the buyers a 4% VAT advancement fee and we reclaim any VAT paid to UK suppliers via our quarterly business VAT returns, from HM Revenue and Customs. However, if buyers wish to pay the full 20% VAT, we do not charge the advancement fee.

e) Our Full Procurement Services Fees:

  • We charge 2% of the net sales value for sourcing/procuring, for each different product required. Min of GBP 30.00 per product.
  • If buyers already have a quotation from a UK supplier, we charge 40% of the savings we may achieve from buying the same products from the same supplier or another supplier of the same products. Giving the buyers a fair saving of 60% from that they were originally quoted.
  • No Fees are charged for these services, if we cannot achieve better prices for the required products from the same or alternative UK suppliers.
  • Procurement service fees will be made payable to EON Logistics & Trading Ltd, at the same time as payment for the goods, on the agreed purchase order.

f) Should the buyer fail to pay for the good(s) within 7 days of the Purchase order acceptance, EON Logistics & Trading Ltd shall be at liberty to treat the Purchase Order contract as cancelled by the purchaser. The buyer will still have to pay EON Logistics & Trading Ltd for the agreed sourcing and procuring work fee, being 2% of net order value, min GBP 30.00 per product sourced.

g) EON Logistics & Trading Ltd will conduct the necessary financial searches to ensure the suppliers of the goods are genuine, before we pay suppliers for the goods being purchased. We will reimburse buyers in full, should the suppliers we have identified not be genuine.

Procurement Option 2 – See definitions

a) Under this option the overseas buyer is employing EON Logistics & Trading Ltd to act only as the buyers UK Procurement Brokers; To Source/Procure required products on behalf of the buyer and then to introduce the best sourced UK Suppliers or manufacturers to the buyers, for a procurement and introduction fee. The buyers then communicate directly with the suppliers/sellers, agrees payment terms, availability timelines and pays the UK Suppliers direct.

b) Our Procurement/Sourcing Broker Service Fees:

  • We charge 2% of the net sales value for sourcing/procuring, for each different product required. Min of GBP 30.00 per product.
  • If buyers already have a quotation from a UK supplier, we charge 40% of the savings we may achieve from sourcing same products from same supplier or another supplier of the same products.
  • No Fees are charged for these services, if we cannot achieve better prices for the required products from the same or alternative UK suppliers.
  • Procurement service fees will be made payable to EON Logistics & Trading Ltd, immediately we supply to the buyers the best suppliers Proforma order quotations, matching the buyers ORF – Order Request Form.
  • Should the buyer not proceed to purchase the goods sourced and procured, the buyer is still responsible to pay us for our agreed sourcing and procurement work fee, being 2% of the net order value, min GBP 30.00 per product sourced.

c) Any product procurement prices quoted to EON Logistics & Trading Ltd., is subject to re-confirmation by the supplier/seller directly to the buyers. As already mentioned, sellers may wish to quote higher prices for their products to overseas clients, to cover the extra work or administration costs they may incur, selling directly to overseas buyers. The UK suppliers will also most likely wish the overseas buyers to pay the 20% UK VAT and the buyer then needs to re-claim this from the seller or from UK HM Revenue and Customs, after goods have been exported from the UK.

3. Our Responsibilities 

a) To deal with the buyer’s procurement enquiries in a professional, efficient and confidential manner.

b) To inform the buyer of all our terms and conditions, as detailed herein.

c) To act as a procurer or as a broker, as per the buyer’s clear instructions.

d) To accurately record buyer’s request for procurement quotation and any order requests are transferred onto our ORF – Order Request Form, email back to buyers to approve, sign and accept our Terms and Conditions.

e) Liaise with suppliers and manufacturers in the UK in connection with product quotations, good’s availability, keep safe buyers’ funds and pay suppliers.

f) To ensure that suppliers quotations include the supplier’s cost of suitably export packing the products ordered and check packing quality when goods delivered to our export warehouse.

g) Pass onto buyers supporting supplier quotations, supplier’s product warranty and terms and conditions, for buyers to understand and accept.

4. Limitation of Liability 

In view of EON Logistics & Trading Ltd responsibilities as set out above, we do not accept liability for the following:

a) Any faults or defects in goods; These would need to be addressed with the suppliers in UK and repaired or replaced as per the manufacturers or sellers’ warranties or terms and conditions. Normally most suppliers/manufacturers warranties will require the goods to be returned to the UK seller at the cost of the buyers.

b) Any issues that you may have with the level of service provided by the seller.

c) We recommend that buyers always ensure the suppliers have sufficiently export packed goods ordered and that the buyers arrange Cargo Transit Insurance Cover, for the value of the goods and all transport/shipping cost incurred.

Whilst EON Logistics & Trading Ltd, use every effort to find the most competitive prices from the UK suppliers/sellers, we cannot guarantee that the prices quoted by us are the very lowest available.

5. Delivery

a) All order availability arrangements must be agreed between buyers, seller or EON Logistics & Trading Ltd. EON Logistics & Trading Ltd do not accept any liability in the event of any delay to supply by the supplier/seller, however, will always do our best endeavour to speed up availability and keep buyers fully informed of any such unexpected delays.

b) Buyers are responsible for all handling, transport, shipping and customs costs from supplier’s door/warehouse, up to buyer’s destination port.

c) EON Logistics & Trading Ltd offer total transport, packing, consolidation, storage and shipping services, to all worldwide destinations.

 6. Jurisdiction and Governing Law

These conditions and any act or contract to which they apply shall be governed by English Law and any dispute arising out of any act or contract to which these conditions apply, shall be subject to the exclusive jurisdiction of the courts of England and Wales.

7. Statutory rights

Nothing within these Terms & Conditions affects your statutory rights to purchase goods that comply with their description, are of satisfactory quality and are fit for purpose.  The products/goods purchase order contract agreement is between you (the buyer) and the nominated UK Supplier/Seller.

8. Complaints

EON Logistics & Trading Ltd aim to: –

a) Treat all complaints seriously, deal with them efficiently and professionally.

b) Manage your complaints quickly whenever possible.

c) Deal with and guide buyers on how to deal with any genuine insurance claim for loss or damage during the overseas shipping process.

d) Learn from complaints and take action to improve our customer service.

What to do if you have a complaint

e) Write to, or call EON Logistics & Trading Ltd on 01276 608801 and speak to the procurement director.

f) Please detail the nature of your complaint and provide contact details so we can respond to you promptly.

g) Your complaint will be logged, acknowledged within 2 working days and assigned a complaint reference number, to use for future contact.
